OMNISC Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Omnisc website, applications, and subscription-based financial intelligence services (collectively, the "Service") provided by OMNISC LLC ("Omnisc," "we," "us," or "our"). By accessing, purchasing, registering for, or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. About Omnisc
Omnisc is a subscription-based financial intelligence SaaS platform. The Service provides analytical outputs, model-assisted interpretations, market context, and related tools designed to help users review market information in a more structured and explainable way.

2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
By using the Service, you represent and warrant that:
- you are at least 18 years old;
- you are legally permitted to use the Service in your jurisdiction;
- you are not located in, ordinarily resident in, or using the Service from a jurisdiction subject to applicable sanctions, export controls, or other legal restrictions; and
- your use of the Service will comply with these Terms and all applicable laws.
We may suspend or terminate access if we reasonably believe you do not meet these eligibility requirements.
3. Accounts and Access
To access the Service, you may be required to complete a checkout flow, create credentials, or activate your account through a secure onboarding flow.
You are responsible for:
- providing accurate and current information;
- maintaining the confidentiality of your login credentials;
- restricting access to your account;
- all activity occurring under your account.
You must notify us promptly at support@omnisc.tech if you believe your account has been compromised.
We may refuse service, suspend access, or terminate accounts where necessary to protect the Service, users, legal compliance, or business operations.
We may monitor account usage patterns to detect unauthorized sharing, suspicious concurrent access, abuse, or security risks, and we reserve the right to limit concurrent sessions or take other reasonable protective measures.
4. Subscription Plans, Trial, Billing, and Auto-Renewal
Omnisc offers subscription-based access to the Service.
Public Plans
- Omnisc Monthly: USD 39 per month
- Omnisc Annual: USD 249 per year
Founder / Waitlist Plans
Certain invited waitlist users may be offered limited founder pricing:
- USD 19 per month
- USD 199 per year
Founder pricing is available only to eligible waitlist users until 2026-07-01. If you purchase an eligible founder plan before that date, your purchased founder rate remains locked for the duration of that continuously active subscription unless changed in accordance with these Terms or required by law. If your subscription is canceled, lapses, is suspended for non-payment, or is otherwise interrupted, founder pricing will not be available if you later resubscribe.
Trial
Where offered, Omnisc may provide a 3-day trial beginning immediately after checkout.
Unless canceled before the trial period ends, the subscription will automatically convert to the paid plan selected at checkout and will renew automatically until canceled.
Auto-Renewal
All subscriptions renew automatically at the end of the applicable billing period unless canceled before renewal.
By purchasing a subscription, you authorize the applicable payment provider to charge your payment method automatically for recurring subscription fees, applicable taxes, and other authorized charges.
Pricing Changes
We may change pricing prospectively. Any pricing change will apply only after reasonable notice and on a forward-looking basis, unless otherwise required by law.
5. Payment Processing
Depending on your region, payments may be processed through different payment providers.
- Purchases from the United States are processed through Stripe.
- Purchases from the EU/EEA/UK are processed through Lemon Squeezy.
- Other jurisdictions may be unsupported, restricted, or subject to manual approval.
For purchases processed through Lemon Squeezy, Lemon Squeezy acts as merchant of record, including handling applicable tax/VAT collection, billing, certain refund mechanics, and related payment processing responsibilities.
Billing management may be handled through the relevant customer portal of the applicable payment provider.
You agree to provide a valid payment method and accurate billing information. If a charge is declined or payment cannot be completed, we may suspend or terminate access.
6. Cancellation
You may cancel your subscription at any time through your Omnisc account or the applicable billing portal made available to you.
If you cancel:
- your subscription will remain active until the end of the current paid billing period, unless otherwise stated;
- you will not be charged for future renewal periods after cancellation takes effect;
- cancellation does not automatically entitle you to a refund except as expressly stated in these Terms or in our Refund & Cancellation Policy.
7. Refunds and EU Withdrawal Rights
Our refund rules are as follows:
- Monthly plans: non-refundable.
- Annual plans: eligible for a full refund within 14 calendar days of the date the first paid charge occurs.
- Refund eligibility is limited to one annual refund per customer per rolling 12-month period.
Refunds may be denied in cases of abuse, fraud, repeated refund behavior, payment disputes inconsistent with these Terms, or misuse of trial/founder access.
For users in the EU/EEA/UK, statutory withdrawal rights may apply under applicable consumer protection laws. By requesting immediate access to the Service at checkout, you acknowledge that this may affect your statutory right of withdrawal to the extent permitted by applicable law.
For purchases processed through Lemon Squeezy as merchant of record, refund requests may also be subject to Lemon Squeezy's applicable policies and procedures in addition to these Terms.

8. Permitted Use
Subject to these Terms, Omnisc grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own internal, lawful, personal investment research and informational use. Business, enterprise, institutional, or multi-user use may require a separate agreement or plan.
9. Prohibited Use
You may not, and may not permit others to:
- copy, reproduce, republish, sell, sublicense, redistribute, or commercially exploit the Service or its outputs except as expressly permitted by us;
- scrape, crawl, harvest, or systematically extract data, outputs, pages, or content from the Service;
- use bots, automation, scripts, or other means to access the Service in a manner that exceeds normal human usage or circumvents limits;
- reverse engineer, decompile, disassemble, or attempt to derive source code, prompts, model logic, scoring logic, or proprietary methods from the Service, except to the extent that applicable law expressly permits such activity and such permission cannot be waived or limited by contract;
- use the Service to build, train, systematically benchmark, enrich, or improve a competing product or dataset, or use Service outputs to benchmark a competing product or dataset;
- share accounts, credentials, or subscription access with others;
- misrepresent identity, region, payment eligibility, or founder/waitlist status;
- interfere with the Service, security, infrastructure, or other users;
- use the Service in violation of applicable securities laws, sanctions laws, export controls, or other applicable laws.
10. Intellectual Property
The Service, including its software, layout, branding, text, visual design, analytical presentation, compilations, and proprietary methods, is owned by Omnisc or its licensors and is protected by intellectual property and other applicable laws.
These Terms do not transfer any ownership rights to you. Omnisc, the Omnisc name, logo, and related marks are trademarks or service marks of Omnisc LLC or its affiliates, whether or not registered. All rights not expressly granted are reserved.
11. AI / Model-Assisted Analytics Disclosure
Some outputs, insights, summaries, classifications, or explanations within the Service may be generated or supported using artificial intelligence, machine learning models, statistical models, and automated analytical systems.
These outputs may contain errors, omissions, inconsistencies, model bias, incomplete interpretations, or stale information. Model-assisted outputs are provided as analytical tools only and should not be treated as definitive factual statements, professional advice, or guaranteed conclusions.
Omnisc does not use AI models to provide personalized investment recommendations or to manage portfolios.
12. Third-Party Data Sources and Service Dependencies
The Service may rely on third-party data providers, APIs, feeds, infrastructure providers, email providers, authentication tools, and other external services.
Omnisc does not guarantee that third-party data, news feeds, prices, market information, social data, or other external content will be accurate, complete, current, uninterrupted, or available at all times.
We are not responsible for outages, delays, inaccuracies, missing data, API changes, throttling, removals, or other failures caused by third-party services or providers.
13. No Investment Advice; No Advisory Relationship
Omnisc is provided for informational and analytical purposes only.
Omnisc is an analytical platform that aggregates and processes publicly available market data to present structured interpretations for informational purposes.
Omnisc is not:
- a broker-dealer;
- an investment adviser;
- a fiduciary;
- a tax adviser;
- a legal adviser; or
- a provider of personalized financial recommendations.
Nothing in the Service constitutes investment advice, a recommendation to buy or sell any security, trading advice, portfolio management advice, legal advice, tax advice, or a solicitation of any transaction.
The Service does not take into account your individual financial situation, investment objectives, risk tolerance, or personal circumstances. Outputs are generated uniformly for subscribers and are not tailored to any individual user.
Omnisc is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state or foreign securities regulatory authority, because Omnisc does not provide investment advisory services or broker-dealer services.
You remain solely responsible for evaluating information and making your own decisions.
14. No Performance Promises
We do not guarantee profitability, performance, market outcomes, investment success, or suitability for any purpose.
Past analytical observations, historical examples, model outputs, internal scoring, or prior market behavior do not guarantee future results.
15. Service Availability and Changes
We may modify, suspend, limit, or discontinue any part of the Service at any time, with or without notice (except where applicable law requires notice), including features, coverage universe, data sources, pricing, layouts, outputs, or access conditions.
We are not liable for any modification, interruption, suspension, or discontinuation of the Service.
16. Sanctions and Restricted Jurisdictions
You may not use the Service if doing so would violate applicable sanctions, export controls, trade restrictions, or other laws.
We may restrict or refuse service in jurisdictions that are sanctioned, unsupported by our payment providers, or otherwise present legal, regulatory, or operational risk.
17. Privacy
Your use of the Service is also governed by our Privacy Policy. Please review it carefully.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
OMNISC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, CONTINUOUS, TIMELY, COMPLETE, OR SUITABLE FOR YOUR NEEDS.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNISC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
20. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Omnisc and its affiliates, members, managers, officers, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Service;
- your violation of these Terms;
- your violation of law;
- your misuse of outputs, data, or content;
- your infringement of rights of any third party.
21. Termination
We may suspend or terminate your access to the Service immediately or at any time if:
- you breach these Terms;
- we suspect fraud, abuse, account sharing, chargeback abuse, sanctions issues, or unlawful conduct;
- continued service creates legal, regulatory, operational, or security risk;
- required by a payment provider, law enforcement authority, regulator, or applicable law.
Sections that by their nature should survive termination will survive termination, including provisions relating to payments, refunds, intellectual property, disclaimers, limitations of liability, dispute resolution, and indemnity.
22. Force Majeure
Omnisc shall not be liable for any delay, failure, or interruption in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, governmental actions, sanctions, embargoes, regulatory changes, power outages, pandemics, epidemics, public health emergencies, cyber incidents, infrastructure failures, or third-party service disruptions.
23. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws principles.
24. Dispute Resolution
To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable consumer or commercial arbitration rules, as applicable, except that either party may bring an individual action in small claims court where eligible.
You and Omnisc agree to waive any right to participate in a class action, class arbitration, or representative proceeding.
This arbitration provision applies to the fullest extent permitted by the laws of your jurisdiction. Nothing in this section shall deprive consumers of mandatory protections afforded by the laws of their country of residence.
If applicable AAA rules require Omnisc to pay filing, administrative, or arbitrator fees in a consumer dispute, Omnisc will pay those fees to the extent required by those rules.
If arbitration is unavailable or unenforceable for a particular claim, the exclusive venue for such claim shall be the state or federal courts located in Wyoming, and you consent to their jurisdiction.
25. Assignment
You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent. Omnisc may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
26. Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
27. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
28. Entire Agreement
These Terms, together with any policies or documents expressly incorporated by reference, constitute the entire agreement between you and Omnisc regarding the Service and supersede all prior or contemporaneous understandings, communications, or agreements relating to the Service.
29. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect through the Service, by email, or by other reasonable means.
Your continued use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
